Terms of Service

Welcome to GunStock. These Terms of Service (“Terms”) govern your use of gunstock.io, storeowners.gunstock.io, any subdomain operated by us in the form storename.gunstock.io, and any related website, application, or service operated by GunStock LLC (“GunStock,” “we,” “us,” or “our”) (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

These Terms contain an arbitration agreement and class action waiver in Section 16. Please read carefully.

1. Who Can Use the Services

You must be at least 18 years old to use the Services. By using the Services, you represent that you are at least 18 and have the legal capacity to enter into these Terms. You also represent that you are not barred from receiving services under the laws of the United States or your jurisdiction.

2. What GunStock Is — and Is Not

GunStock provides inventory-display websites and related software services for independent firearms retailers in New Jersey. The Services are an informational platform.

GunStock is not a federally licensed firearms dealer. We do not sell, ship, transfer, or take possession of firearms, ammunition, magazines, or any regulated items. The presence of an item on a store-branded site does not constitute an offer of sale by GunStock and does not guarantee availability.

All firearm transactions occur in person at the licensed retail location of the store displaying the inventory. All sales are subject to federal law, New Jersey law, applicable local ordinances, a valid Firearms Purchaser Identification card, a Permit to Purchase a Handgun where required, a NICS background check, and any waiting period imposed by law. The retail store, not GunStock, is solely responsible for compliance with the laws governing the transaction.

3. Accounts

Some features require an account. You agree to provide accurate, current, and complete information when creating an account, to keep it accurate and current, and to keep your password confidential. You are responsible for all activity that occurs under your account. Notify us immediately at jack@gunstock.io if you suspect unauthorized access.

We may suspend or terminate accounts that violate these Terms, that are inactive, or that we believe present a security or legal risk.

4. Acceptable Use

You agree not to:

• ›Use the Services in violation of any federal, state, or local law, including firearms law.
• ›Attempt to purchase, transfer, or facilitate the transfer of a firearm in a manner that would violate the law, including straw purchases, transfers to prohibited persons, or transfers across state lines outside of an FFL.
• ›Submit, post, or transmit content that is unlawful, defamatory, fraudulent, deceptive, infringing, or harmful.
• ›Scrape, crawl, or use automated means to access the Services except for publicly available pages in accordance with our robots.txt.
• ›Reverse engineer, decompile, or attempt to extract the source code of the Services, except to the extent permitted by law.
• ›Interfere with the operation of the Services, probe for vulnerabilities, or bypass any security or access control.
• ›Use the Services to send unsolicited communications or malware.
• ›Impersonate any person or misrepresent your affiliation with any store, organization, or government entity.

We may investigate and take legal action against any violation, and we may remove content or suspend access at our discretion.

5. Store-Branded Sites

Sites in the form storename.gunstock.io are operated by GunStock on behalf of the retail store named on the site. Inventory listings, prices, descriptions, store hours, and contact information on those sites are provided by the store. GunStock does not independently verify each listing and is not responsible for the accuracy of store-supplied content.

When you submit a reservation, hold, inquiry, or other contact through a store-branded site, the relevant store receives your submission and is responsible for responding. Any pickup, hold, deposit, or in-store agreement is between you and the store, not GunStock.

6. New Jersey Compliance

GunStock configures store-branded sites to omit listings of items prohibited for retail sale in New Jersey, including assault firearms as defined under N.J.S.A. 2C:39-1w and large-capacity magazines exceeding ten rounds. We make commercially reasonable efforts to maintain compliance filters as the law evolves.

If you believe a listing is non-compliant with applicable law, contact jack@gunstock.io and we will review and, if appropriate, remove it promptly. The displaying store remains the party legally responsible for the content of its listings.

7. Subscription Services for Store Clients

If you are a retail client, your use of the Services is also governed by your signed GunStock Service Agreement. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement controls as between GunStock and that client.

Subscription fees are billed in advance on a recurring basis. Setup fees are non-refundable. Subscription fees are non-refundable except as required by law or as expressly provided in your Service Agreement. Failure to pay may result in suspension of the Services as described in your Service Agreement.

Payments are processed by Stripe. By providing payment information, you authorize us and Stripe to charge the payment method on file for the amounts due.

8. Intellectual Property

The Services, including the GunStock name, logo, website templates, software, AI tools, design, and underlying technology, are owned by GunStock or its licensors and are protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purpose, subject to these Terms.

Store clients retain ownership of their store information, photos, descriptions, and other content they submit (“Client Content”). By submitting Client Content, you grant GunStock a worldwide, non-exclusive, royalty-free license to host, display, process, and otherwise use that content to provide the Services. You represent that you have all rights necessary to grant this license.

9. AI Processing

The Services use the Anthropic Claude API to identify firearm attributes from submitted photographs. AI output may be inaccurate or incomplete. Store clients are responsible for reviewing AI-generated listings before publication and for the accuracy of all listings displayed on their site.

10. Third-Party Services

The Services rely on third-party providers, including but not limited to Vercel (hosting), Supabase (database and authentication), Stripe (payments), Anthropic (AI), and email and analytics providers. Your use of those third parties through the Services is subject to their respective terms and policies. We are not responsible for third-party services or third-party content reached through links on the Services.

11. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. GunStock does not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that any information obtained through the Services is accurate or complete.

GunStock makes no representation regarding the availability of any item displayed on a store-branded site, the legality of any particular transaction, or your eligibility to purchase or possess any item. You are responsible for determining the legality of your own conduct.

12. Limitation of Liability

To the fullest extent permitted by law, GunStock and its officers, members, employees, agents, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the Services, even if GunStock has been advised of the possibility of such damages.

Our total liability for all claims relating to the Services is limited to the greater of (a) the amount you paid GunStock in the 30 days preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless GunStock and its officers, members, employees, and agents from any claim, demand, loss, damage, cost, or expense (including reasonable attorneys’ fees) arising out of (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any law or the rights of any third party, or (d) any Client Content you submit. This obligation survives termination of your use of the Services.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including suspected violation of these Terms. You may stop using the Services at any time. Upon termination, your right to use the Services ends. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

15. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law principles. Except as provided in Section 16, you and GunStock agree to the exclusive jurisdiction of the state and federal courts located in Monmouth County, New Jersey for any dispute not subject to arbitration.

16. Dispute Resolution; Arbitration; Class Action Waiver

Most disputes can be resolved informally. Before filing any formal claim, you agree to first contact us at jack@gunstock.io with a written description of the dispute and to give us 30 days to attempt to resolve it.

If we cannot resolve the dispute informally, you and GunStock agree that any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Monmouth County, New Jersey, or another mutually agreed location, or by video conference. Judgment on the award may be entered in any court of competent jurisdiction.

You and GunStock agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative action. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.

Notwithstanding the above, either party may bring an individual action in small-claims court, and either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights.

You may opt out of this arbitration agreement by sending written notice to jack@gunstock.io within 30 days of first accepting these Terms. The notice must include your name, the email associated with your account, and a clear statement that you wish to opt out of arbitration.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the Effective Date above and provide reasonable notice, which may include posting the updated Terms on the Services or sending an email to account holders. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

18. Miscellaneous

• ›Entire agreement. These Terms, together with the Privacy Policy and, for store clients, any signed Service Agreement, constitute the entire agreement between you and GunStock regarding the Services.
• ›Severability. If any provision is found unenforceable, the remaining provisions will remain in full effect.
• ›No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• ›Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• ›Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, internet or utility failures, or third-party service outages.
• ›Notices to you. We may provide notices through the Services or by email to the address on your account.
